Terms of Use & License Agreement

Services Covered:

This AGREEMENT applies to the following video offerings:

• Walkthrough (Basic & Premium)

• Showcase (Basic & Premium)

• Highlights (Basic and Premium)

• Social Clip Pack (Add-On)

Final Edited Video:

Each main offering includes delivery of one (1) final edited video as agreed upon at the time of booking.

The delivered video constitutes the final product and is intended to be used in its delivered form.

CLIENT shall not:

• Re-edit, alter, crop, filter, recolor, re-time, or otherwise modify the final video

• Replace music

• Add overlays, graphics, or branding elements

• Engage a third party to modify the final video

Any modifications must be performed by COMPANY.

Revisions:

Each main video project includes up to two (2) revision requests.

A revision is defined as minor changes to the delivered video, including but not limited to:

• Text corrections

• Music replacement (if requested during revision window)

• Addition of provided logo or end card

Requests constituting significant re-editing, restructuring, or creative direction changes may be considered outside the scope of included revisions and may incur additional charges.

Additional revisions beyond the two (2) included revisions shall be billed at:

$50 per additional revision

COMPANY reserves the right to determine whether a requested change constitutes a revision or a new edit.

Client-Provided Assets:

• If CLIENT requests inclusion of:

• Logos

• Brokerage branding

• End cards

• Contact information

CLIENT is responsible for providing all necessary assets in high-resolution, usable digital formats.

COMPANY is not responsible for delays resulting from missing, late, or unusable assets.

Scope of Deliverables - Social Clip Pack:

Unless otherwise specified in writing, the Social Clip Pack includes:

• Individual files of the footage used in the main video

• Color-graded and trimmed footage

• Full HD vertical resolution clips

Editing and & Usage Right - Social Clip Pack:

CLIENT is granted permission to:

Cut and Combine clips into new social media content

Add text overlays, music, and graphics

This editing permission applies exclusively to the Social Clip Pack deliverables and does not extend to main video offerings.

Ownership and Intellectual Property:

All video footage, raw files, and final edited deliverables remain the sole intellectual property of COMPANY.

CLIENT is granted a non-exclusive, non-transferable license to use delivered videos for:

• Social media marketing

• Property marketing

• Personal branding

• Brokerage website use

Paid advertisements, sponsored content, or any commercial promotion using the delivered videos or clips are not permitted under this license.

If CLIENT wishes to use any deliverables for paid advertising or commercial promotion using the delivered videos or clips are not permitted under this license.

No ownership rights are transferred under this AGREEMENT.

Transfer & Third-Party Restrictions:

CLIENT may not:

• Sell, sublicense, assign, or transfer the videos or footage to any third party

• Provide footage to another editor or media company for resale

• License footage to builders, develop, stagers, media outlets, or other business

If a third party wishes to use the footage, written consent from COMPANY is required and additional licensing fees may apply.

Raw Footage:

Raw unedited footage is not included in any standard package.

If CLIENT requests raw footage, it may be licensed separately at COMPANY’S discretion under a separate written agreement and additional fee.

Credit & Alteration:

CLIENT shall not apply filters, color adjustments, compression edits, or other alterations to main video deliverables that materially change the appearance or quality of the work.

If the video is significantly altered without written consent, COMPANY reserves the right to:

• Request removal of attribution

• Request removal of the altered video from public platforms

CLIENT shall not:

• Re-edit, alter, crop, filter, recolor, re-time, or otherwise modify the final video

• Replace music

• Add overlays, graphics, or branding elements

• Engage a third party to modify the final video

Any modifications must be performed by COMPANY.

Payment Terms:

Unless otherwise agreed in writing:

• Payment is due prior to delivery of final files

• COMPANY reserves the right to withhold delivery until payment is received

File Storage & Archiving:

COMAPNY will retain project files for one (1) month following delivery. Long-term storage is not guaranteed

Requests for re-exports or file retrieval beyond the standard storage period may incur additional fees.

Limitation of Liability:

COMPANY shall not be liable for:

• Platform compression or quality degradation by social media platforms

• Changes made by CLIENT or third parties

• Improper usage outside the scope of granted license

Acceptance:

Booking and/or payment for services constitutes acceptance of these Terms of Use.
